Terms of Service

You must be at least 18 years old and have the legal authority to enter into a binding contract on behalf of yourself or the business you represent. By using ChatSathi you represent that these requirements are met.

You must provide accurate and complete information when creating an account and keep it up to date. You are responsible for maintaining the security of your credentials and for all activity under your account. Notify us immediately at legal@chatsathi.co.in if you suspect unauthorised access.

One account may serve multiple team members through our role-based invitation system. Each invited member is bound by these Terms.

ChatSathi is a multi-tenant SaaS platform that connects to the Meta WhatsApp Business Cloud API to provide a shared inbox, broadcast messaging, drip campaigns, automations, contact management, sales pipeline, and related CRM features. We reserve the right to modify, suspend, or discontinue any feature at any time with reasonable notice.

Your use of ChatSathi to send or receive WhatsApp messages is additionally governed by:

• WhatsApp Business Policy
• Meta Platform Policy
• WhatsApp Commerce Policy

You agree to comply with all applicable Meta policies when using ChatSathi. We may suspend or terminate your account if we determine you are in violation of those policies.

You agree not to use ChatSathi to:

• Send unsolicited bulk messages (spam) or messages to contacts who have not opted in
• Transmit illegal, harmful, fraudulent, threatening, or abusive content
• Impersonate another person or organisation
• Violate any applicable law or regulation, including data protection laws (GDPR, CCPA, DPDP Act, etc.)
• Scrape, crawl, or harvest data from ChatSathi through automated means
• Attempt to reverse engineer, decompile, or disassemble the Service
• Circumvent or test the security of any system
• Resell access to the Service without our prior written consent

We reserve the right to investigate violations and to suspend or terminate accounts engaged in prohibited conduct without notice.

You are solely responsible for ensuring that your contacts have given valid consent to receive WhatsApp messages from your business. ChatSathiautomatically honours opt-out requests: when a contact replies with "STOP", "UNSUBSCRIBE", or equivalent keywords, they are immediately blocked from future broadcast and campaign sends.

You must not attempt to circumvent opt-out requests or re-enrol opted-out contacts without their renewed consent.

Certain features of ChatSathi may require a paid subscription. Fees are described on the pricing page and invoiced in advance for the applicable billing period. All fees are non-refundable except as required by applicable law or as expressly stated in a separate order form.

We may change pricing with at least 30 days' prior written notice. Continued use of the Service after the effective date constitutes acceptance of the new fees. If you disagree with a price change, your sole remedy is to cancel before the change takes effect.

WhatsApp message costs (conversation-based pricing charged by Meta directly) are separate from ChatSathi subscription fees and are your responsibility.

Our collection and use of personal data is described in our Privacy Policy, incorporated by reference into these Terms. You are the data controller for your contacts' personal data; ChatSathi processes it on your behalf as a data processor.

You represent that you have a lawful basis to collect, store, and message each contact in ChatSathi, and that you will honour all data subject rights requests promptly.

ChatSathi and all associated intellectual property (software, design, trademarks, documentation) remain the exclusive property of ChatSathi. These Terms grant you a limited, non-exclusive, non-transferable licence to use the Service for your own internal business purposes during the subscription term.

You retain ownership of your content (contacts, messages, templates, automation configurations). You grant ChatSathi a limited licence to process that content solely to provide and improve the Service.

Each party agrees to keep the other's non-public information confidential and not to disclose it to third parties without prior written consent, except as required by law. This obligation survives termination of these Terms.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

Message delivery relies on Meta's WhatsApp infrastructure, which we do not control. We make no guarantees regarding delivery rates, latency, or availability of the WhatsApp platform.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CHATSATHI AND ITS OFFICERS, EMPLOYEES, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN ANY CASE, OUR AGGREGATE LIABILITY SHALL NOT EXCEED THE GREATER OF (A) THE FEES PAID BY YOU IN THE TWELVE MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED US DOLLARS (USD $100).

You agree to indemnify, defend, and hold harmless ChatSathi and its affiliates, officers, employees, and agents from any claims, liabilities, damages, and costs (including reasonable legal fees) arising out of: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any applicable law or third-party right; or (d) content you transmit through the Service.

Either party may terminate these Terms at any time. You may cancel your account from the Settings page. We may suspend or terminate your account immediately if you violate these Terms, fail to pay applicable fees, or if we are required to do so by law or at Meta's direction.

Upon termination, your right to use the Service ceases immediately. We will delete your account data within 30 days of termination, subject to our Privacy Policy. Provisions that by their nature should survive (Sections 9, 10, 11, 12, 13, and 16) will continue to apply.

We may update these Terms from time to time. We will notify you by email or in-app notice at least 14 days before material changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms.

These Terms are governed by applicable law. Any dispute arising out of or relating to these Terms shall first be attempted to be resolved through good faith negotiation. If unresolved within 30 days, either party may pursue available legal remedies.

• Entire agreement. These Terms (together with the Privacy Policy and any order forms) constitute the entire agreement between you and ChatSathi regarding the Service.
• Severability. If any provision is found unenforceable, the remaining provisions continue in full force.
• No waiver. Our failure to enforce any right is not a waiver of that right.
• Assignment. You may not assign these Terms without our prior written consent. We may assign them freely.
• Force majeure. Neither party is liable for delays or failures caused by circumstances beyond their reasonable control.
